SE Websites Commercial Software Licence Agreement

This is a reference copy of the SE Websites Commercial Licence Agreement under which many of the addons on this site are released.

This End-User Licensing Agreement, including any supplemental terms (collectively the "EULA") is between You and John Ferguson Trading As SE Websites (hereafter "SE Websites").

If you do not wish to be bound by its terms, you may not use the software and must delete it.

Consent to Data Collection and Retention

Applies to all licence types:

  • You consent to SE Websites collecting and retaining data on the installation(s) of the addon for the purposes of monitoring licence compliance and to facilitate support and update notifications.
  • You may withdraw this consent at any time by deleting your account on cartmart.uk but this may prevent your moving, reinstalling or changing the settings of the addon

Standard Licence

What you can do:

  • use the software on your website
  • use the software on additional development/test versions of your website
  • make backup copies as required
  • adapt, change and extend the software to fit your website
  • make a one-off transfer of your licence (e.g. buy the software when building a single site for a client and charge them for it) - your rights and obligations are transferred to the new licence holder

What you can't do:

  • publish the software openly (e.g. on github or the phoenix or oscommerce apps area) either on its own or as part of a larger addon or your site
  • use the software on more than one production site (get a multi-site or extended licence)
  • resell additional copies of the software or incorporate it into addons or templates that you sell (get an extended licence)
  • retain and use a copy of the software if you transfer it

Multi-site Licence

What you can do:

  • everything in the standard licence plus:
  • use the software on multiple sites which serve the same company/owner
  • make a one-off transfer of your multi-site licence (e.g. buy the software on a client's behalf for them to use on more than one live site) - your rights and obligations are transferred to the new licence holder

What you can't do:

  • use the software on multiple sites for different clients (get an extended licence)

Extended Licences

Are tailored individually and may give permission to resell the software, incorporate and extend it for resale or use it on multiple client sites. Contact me to discuss.

Term of Agreement

This EULA is effective from the date you install the software. You may terminate this agreement at any time by permanently deleting all copies of the software, including backup copies.

SE Websites or its licensors may terminate this EULA at any time without notice if you fail to comply with any terms or conditions of this agreement.

Once it is terminated you must stop using this software and delete all the software and associated materials and any copies immediately.

Warranty Disclaimer and Limit Of Liability

You acknowledge that the software is sold 'as-is' without warranty express or implied, including but not limited to the warranties of merchantability, satisfactory qualty, fitness for a particular purpose, accuracy.

There is no warranty from SE Websites that the functions of the software will meet your requirements or that the operation of the software will be uninterrupted or error-free.

SE Websites won't be held liable for incidental, special or consequential damages so far as the law allows. No liability is accepted beyond the price paid for it.

You assume all responsibility and risk for the selection of the software and its application.

Governing Law

This agreement, and any dispute, controversy, proceedings or claim of whatever nature arising out of or in any way relating to this agreement or its formation (including any non-contractual disputes or claims), shall be governed by and construed in accordance with English law.
